A boilerplate contract is the standard contract a seller/vendor offers to clients. Vendors will try to get an unsuspecting customer to sign their boilerplate contract, while trying to avoid any questions about it by saying things like, “All our customers sign this standard agreement,” and “We’ve done a lot of these contracts with customers in Thailand, so don’t worry the same clauses will apply in your case given you’re also based in Thailand”. Whenever a seller/vendor approaches you with these excuses to get you to sign their contracts, make sure you take time to review every clause and then have your procurement manager as well as you legal representatives review and ensure your needs and requirements have been taken into consideration prior to signature.
